These commercial terms summarize billing, taxes, and related rules for the international / “global” segment of ShiftBox. They supplement the global Terms of Service and Privacy Policy.

1. Billing model and payment

1.1. Current availability (Early Access). The Service is currently offered in an “Early Access” or “Beta” mode. Basic features are provided free of charge unless the product or pricing page states otherwise. We reserve the right to introduce paid plans in the future; when activated, paid access will be governed by these Commercial Terms (as updated at that time) together with the checkout terms presented at purchase.

1.2. No automatic subscription (when paid access is offered). Unless we publish a different model, ShiftBox does not use automatic recurring subscription charges by default. Where paid access exists, it is purchased for a selected period (including month-to-month where available) and is renewed manually through the product before the paid period ends, unless checkout states otherwise.

1.3. Future recurring billing. If recurring billing is enabled later, it will be disclosed at checkout and in these terms before any recurring charge.

1.4. Plan limits (employees, features, usage) depend on the plan selected in the product. Marketing materials are indicative; the in-product plan configuration prevails.

1.5. Payments. Payments are processed through our authorized reseller and merchant of record (for example LemonSqueezy or a similar platform). The reseller’s terms of service and privacy policy apply to the payment process and will be presented at checkout. The Provider does not receive or store your full payment-card credentials; those are handled by the reseller and its payment partners.

1.6. Introductory / trial access. The Provider may offer trial or introductory access to paid or higher-tier features. Duration, scope, and limits are stated on the website (including the pricing page) or in the product. When a trial ends, access beyond the free tier may be restricted until you purchase a paid plan, if and when offered.

1.7. Plan change. Where the product allows it, you may change your pricing plan in your account at any time. When moving to a higher-priced plan: you pay the full price for the new plan as shown in the product for a new access period. No refund, credit, or recalculation of fees is provided for the unused portion of your previous plan. When moving to a lower-priced plan: no recalculation of fees and no refund of the price difference is made; the lower plan takes effect immediately, while the end date of the current prepaid period remains unchanged, unless the pricing page or product explicitly states otherwise.

1.8. Data location (global segment). Customer content and related operational data for this segment are processed using cloud infrastructure in the European Union. Unless the product or administrator settings specify otherwise, primary databases run on AWS in the Frankfurt (Germany) region (with backups and subprocessors possibly in other EU regions, as described in the Privacy Policy).

1.9. Data Processing Addendum (DPA). If you are a company or other organisation established in the EU/EEA (or the United Kingdom) and you use the Service as a controller for personal data of individuals in those regions, the Provider’s Data Processing Addendum (DPA) applies to processing that the Provider carries out on your instructions as processor. The current DPA is available on request from hello@shift-box.com and may be published on the website.

2. Taxes

Prices may be subject to applicable taxes (such as VAT or sales tax) based on your location. These taxes are calculated and collected by the Merchant of Record at the time of purchase, as shown at checkout.

Invoices and receipts. Tax invoices or receipts, where issued, are provided according to the Merchant of Record’s policies and checkout flow. You remain responsible for any taxes owed on your side beyond what the Merchant of Record collects, as required by your local law.

3. Refunds

3.1. Due to the digital nature of the Service, refunds are generally not provided for the current billing period once paid access has been activated, except where mandatory consumer law requires otherwise.

3.2. Exception (prolonged outage). A refund may be considered only if the Service was completely non-operational for more than seventy-two (72) consecutive hours due to the Provider’s fault, as confirmed by technical support — without prejudice to stricter rights you may have under mandatory consumer law in your country.

3.3. You may stop renewing paid access in accordance with in-product controls; access typically continues until the end of the then-current paid period unless stated otherwise at purchase.

3.4. EU/EEA and UK consumers — right of withdrawal. If you are a consumer (a natural person acting for purposes outside your trade, business, craft, or profession) in the European Economic Area or the United Kingdom, you may have a 14-day statutory right to withdraw from a distance contract, where applicable law grants such a right. Where the law permits, by completing checkout you request immediate supply of the digital service (activation of paid access) before the end of that period and acknowledge that, once access is activated, your right of withdrawal ceases in respect of that purchase to the extent allowed by applicable law (including rules on digital content and services). Mandatory consumer rights that cannot be contractually waived remain unaffected.

4. Web analytics

Use of the website and Service may involve web analytics (including Google Analytics) as described in the Privacy Policy.

5. Disclaimer of warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, ShiftBox (the Provider) does not warrant that the Service will be uninterrupted or error-free, or that defects will be corrected. Use during Early Access / Beta may involve more frequent changes, maintenance, or interruptions.

6. Limitation of liability

To the maximum extent permitted by applicable law, ShiftBox (the Provider) shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, goodwill, data, or business interruption), or for errors in schedules, time records, payroll-related calculations, or reports, or for financial or regulatory consequences of data you or your users entered into the Service.

Aggregate cap. In any case, the Provider’s total aggregate liability arising out of or in connection with these commercial terms or the global segment shall not exceed (a) the amount actually paid by you for ShiftBox (excluding taxes collected as pass-through) in the six (6) calendar months immediately preceding the event giving rise to the claim, if you have paid for paid access during that period, or (b) fifty US dollars (USD 50) if the Service has been free of charge to you during that period (for example Early Access only) — unless a different minimum liability is imposed by mandatory law in your jurisdiction.

Nothing in this section limits liability that cannot be limited by law (including, where applicable, liability for death or personal injury caused by negligence, or fraud).

7. Governing law and dispute resolution

The parties shall first attempt to resolve any dispute arising out of or relating to these commercial terms through good-faith negotiations.

If a resolution cannot be reached, disputes shall be settled in accordance with the laws of the jurisdiction where the Provider is registered (as stated on the website or in the Terms of Service), without prejudice to mandatory consumer-protection laws of the country where you live (including, where applicable, rules on jurisdiction and venue that cannot be contractually waived).

8. Changes to these terms

We may update these commercial terms by posting a revised version on the website. Unless mandatory law requires individual notice, publication is sufficient. We recommend reviewing this page periodically.
