Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ShiftBox at https://shift-box.com (the “Service”) for the international / “global” segment.

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Parties

These Terms constitute a binding agreement between you and Denis Nikolaevich Zakharov (the “Provider”), who operates ShiftBox.

2. The Service

ShiftBox is a cloud-based tool for workforce scheduling, time tracking, and related reporting. The Provider grants you a non-exclusive, non-sublicensable right to access and use the Service for each paid access period you purchase, subject to your plan limits and fair use.

Services are provided remotely via the web interface on a SaaS basis; the Provider does not deliver software on physical media and does not grant a right to install the application on your devices except through the browser or other access method offered by the Service.

An introductory or trial access tier may be offered as described on the website or in the product; when a trial ends, access beyond the free tier may be restricted until you purchase a paid plan, as stated at signup or on the pricing page.

3. Accounts and acceptable use

You are responsible for safeguarding credentials and for all activity under your account. You must not misuse the Service, attempt unauthorized access, interfere with the Service’s operation, or violate applicable law. If you represent an organization, you are responsible for users you invite and for data you upload.

If you are a company or entrepreneur (business user), you warrant that you have obtained any required consents and lawful bases to process personal and other data of employees and third parties that you enter into the Service. You bear sole responsibility for the acts and omissions of your staff, contractors, and anyone to whom you grant access to your account, data, or Service features — as if they were your own.

Every user who uploads third-party data warrants that they have the rights and, where required, consents to do so.

The Provider may suspend or terminate accounts that breach these Terms or applicable law. Access may be suspended without prior notice for payment breaches or for abuse that threatens the Service or other users.

4. Warranty disclaimer

4.1. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF ACCURACY FOR PAYROLL CALCULATIONS OR LEGAL COMPLIANCE IN YOUR JURISDICTION.

4.2. ShiftBox is not a tax or legal advisor. You must independently verify all data generated by the Service before making payments to employees or filing tax or regulatory documents.

5. Limitation of liability

To the maximum extent permitted by law, the Provider is not liable for indirect damages, lost profits, or consequential damages arising from use of the Service, including loss of data, payroll or reporting errors, scheduling conflicts, or financial consequences of data you or your delegates entered into the Service.

The Provider does not guarantee timely delivery or receipt of notifications (e-mail, push, or similar) by you or your users; third-party messaging channels are outside the Provider’s control.

The Service is an auxiliary automation tool; you remain solely responsible for verifying schedules, calculations, and reports before applying them (including salary payments and regulatory filings).

Aggregate liability cap. The Provider’s total aggregate liability arising out of or related to these Terms or the Service shall not exceed the amount actually paid by you for the Service in the six (6) calendar months preceding the claim, or one hundred US dollars (USD 100), whichever is greater, unless a higher minimum liability is imposed by mandatory law in your jurisdiction.

6. Intellectual property

6.1. The Service and all related intellectual property are the exclusive property of the Provider, including without limitation software code, architecture, design and layout, logos, trade names, wordmarks, and other brand identifiers, graphics, user interface, documentation, database structure, algorithms, and business logic. All rights not expressly granted to you are reserved.

6.2. You may not copy, modify, decompile, reverse engineer, create derivative works from, frame, mirror, or redistribute the Service, or use, imitate, or misappropriate the Provider’s names, logos, or distinctive branding, except as expressly permitted in writing or as technically required to use the Service as intended. Materials published on the shift-box.com domain may not be used in ways incompatible with the intended purpose of the Service.

7. Privacy and web analytics

Personal data is processed as described in the global Privacy Policy.

The website and Service may use web analytics (including Google Analytics). Details of categories of data, legal bases, and transfers are in the Privacy Policy (sections on cookies, analytics, and hosting).

8. Governing law and disputes

These Terms are governed by the laws of the jurisdiction where the Provider is registered (as indicated on the website), except where mandatory law of your country cannot be contractually disapplied.

Any disputes arising out of or relating to these Terms or the Service shall be settled in the jurisdiction where the Provider is registered, without prejudice to mandatory consumer-protection laws of your country (including any non-waivable right to bring proceedings in the courts of your country of residence).

9. Support, data requests, and contact

For support, billing questions, data export, withdrawal of consent, or other legal notices, contact hello@shift-box.com. We may ask you to verify your identity before acting on sensitive requests.

For account and data deletion, e-mail hello@shift-box.com from your account address with the subject line Data deletion (or equivalent) and your account login in the message. Where the GDPR applies, we will confirm erasure or explain refusal within the timelines set out in the Privacy Policy (typically one month, extendable where Article 12(3) GDPR allows).

10. Refunds, billing model, and document updates

10.1. Refunds. Rules for refunds and exceptions (if any) are set out in the commercial terms. As a general rule, fees for a period in which paid access has already been activated are non-refundable, except where mandatory consumer law requires otherwise.

10.2. Current billing practice. At present, automatic recurring subscription charges are not used; paid access is purchased for a selected period (including month-to-month where offered) and must be renewed manually before the paid period ends. If recurring billing is introduced, the payment screen and these documents will describe it before any charge.

10.3. Plan change. Where the product allows it, you may change your pricing plan in your account at any time. When moving to a higher-priced plan: you pay the full price for the new plan as shown in the product for a new access period. No refund, credit, or recalculation of fees is provided for the unused portion of your previous plan. When moving to a lower-priced plan: no recalculation of fees and no refund of the price difference is made; the lower plan takes effect immediately, while the end date of the current prepaid period remains unchanged, unless the pricing page or product explicitly states otherwise.

10.4. Changes to these Terms. Updated Terms are published on the website. Unless mandatory law requires individual notice, publication is sufficient. Continued use after the effective date may constitute acceptance, where permitted by law. We recommend reviewing the Terms periodically.
